INDIVIDUAL MEMBER ADMISSION AGREEMENT

 

The following are terms and conditions for individual membership in the Local Media Consortium, Inc., a Delaware corporation (the “LMC”, such membership an “Individual Membership”). Individual Memberships are available only to persons who are employed in the media industry but not by a current Member Company of the LMC.

 

PLEASE READ THIS ADMISSION AGREEMENT CAREFULLY. BY CLICKING A BOX TO INDICATE YOUR ACCEPTANCE, OR BY OTHERWISE COMPLETING AN APPLICATION FOR INDIVIDUAL MEMBERSHIP, YOU AGREE TO BE BOUND BY THIS ADMISSION AGREEMENT.

 

TERM

The term of this Admission Agreement begins with your completion of an Individual Membership application and continues for a period of one year. On each anniversary of your completed application, the term will renew for an additional year unless you provide 60 days notice of your intent not to renew by sending email to allye@localmediaconsortium.com.

 

DUES

As a condition of Individual Membership, you are required to pay annual Dues, as determined by the LMC Board of Directors. As of the date of this Admission Agreement, the Dues for Individual Membership are $225 per year. Payment is by credit card only and is non-refundable.

 

PRIVACY

LMC shall not sell, process, retain, disclose, or use (a) for a commercial purpose or (b) outside of the direct business relationship between LMC and Member, any Personal Data that, under the California Consumer Protection Act (“CCPA”) or such other laws that may apply, constitutes “personal information” (“CA Personal Information”) except to provide the Service or as permitted by CCPA and applicable other laws.  Notwithstanding anything in this Admission Agreement, the parties acknowledge and agree that LMC’s access to CA Personal Information or any other Personal Data does not constitute part of the consideration exchanged by the parties in respect of the Admission Agreement.

 

CONFIDENTIALITY

LMC, its Members or its vendor affiliates (“Partners”) may from time to time disclose non-public information relating to the business of the disclosing party, or relating to a third party under contract with a disclosing party, that either is marked or identified as confidential or that would be reasonably understood to be of a confidential nature (“Confidential Information”). You, as the receiving party, agree that, during the Term of this Agreement and for one (1) year thereafter: (i) you will keep all Confidential Information of the disclosing party in strict confidence, using such degree of care as is appropriate to avoid unauthorized use or disclosure; (ii) you will not, directly or indirectly, disclose any Confidential Information of the disclosing party to anyone, except with the prior written consent of the disclosing party; and (iii) you will not make use of any Confidential Information of the disclosing party for your own purposes (except as necessary to exercise your rights or fulfill your obligations hereunder) or for the benefit of anyone other than the disclosing party. You, as the receiving party, may disclose Confidential Information of the disclosing party if such disclosure is required by law, court order or regulation; provided, however, that you will notify the disclosing party in writing in advance of such disclosure, and will provide the disclosing party with copies of any related information so that the disclosing party may take appropriate action to protect its Confidential Information.

 

YOUR PRIVILEGES AS AN INDIVIDUAL MEMBER

As an Individual Member:

 

You get free admission to the LMC’s spring conference, which is a meeting open to all Members, typically occurring in the first half of the calendar year. Your admission to the spring conference is not transferrable to any other individual. The LMC may schedule or reschedule the spring conference to a time of its choosing, or cancel the spring conference entirely, in its sole discretion.

 

You may attend any webinars offered by the LMC and its Partners, subject to any restrictions on attendance imposed by specific Partners.

 

You may attend regular LMC membership meetings as a non-voting member. 

 

You will have access to certain portions of the LMC Member Portal.

EDUCATIONAL MEMBER ADMISSION AGREEMENT

 

The following are terms and conditions for educational memberships in the Local Media Consortium, Inc., a Delaware corporation (the “LMC”, such membership an “Educational Membership”). Educational Memberships are available only to students enrolled at educational institutions and educators working at such institutions.

 

PLEASE READ THIS ADMISSION AGREEMENT CAREFULLY. BY CLICKING A BOX TO INDICATE YOUR ACCEPTANCE, OR BY OTHERWISE COMPLETING AN APPLICATION FOR EDUCATIONAL MEMBERSHIP, YOU AGREE TO BE BOUND BY THIS ADMISSION AGREEMENT.

 

TERM

The term of this Admission Agreement begins with your completion of an Educational Membership application and continues for a period of one year. On each anniversary of your completed application, the term will renew for an additional year. If you wish to terminate, please send an email to allye@localmediaconsortium.com at any time.

 

DUES

As a condition of Educational Membership, you may be required to pay annual Dues, as determined by the LMC Board of Directors.  However, as of the date of this Admission Agreement, no Dues are required for Educational Membership.
